Infotech Solutions provides professional consulting, advisory, engineering architecture, and implementation services, including but not limited to:
All professional engagements are delivered on a consulting basis and may be governed by separate Proposals, Statements of Work, Master Service Agreements, Service Agreements, or Project Contracts.
Infotech Solutions applies professional skill, recognised frameworks, and technical diligence when delivering services. However, successful execution of cybersecurity, data analytics, governance, compliance, artificial intelligence, and digital transformation outcomes may depend on the baseline health of Client infrastructure, third-party cloud availability, stakeholder participation, data quality, allocated budgets, internal approvals, and operational constraints.
Unless expressly agreed in a binding written agreement signed by an authorised representative of Infotech Enterprise, Infotech Solutions provides no warranty, express or implied, regarding specific financial, operational, statutory compliance, cybersecurity, or business outcomes.
Clients are responsible for:
All methodologies, frameworks, technical scripts, documentation, visual architectures, templates, reports, presentations, website content, branding elements, and delivery materials used or produced by Infotech Solutions remain the intellectual property of Infotech Solutions unless expressly assigned otherwise in a signed written agreement.
Clients retain ownership of their proprietary enterprise data, corporate records, operational systems, business information, and raw materials supplied during an engagement.
Infotech Solutions maintains confidentiality regarding sensitive business, technical, operational, and financial information disclosed by the Client during an engagement.
We shall not disclose confidential Client information to unauthorised third parties, except:
Both parties agree to comply with their respective obligations under the Protection of Personal Information Act, No. 4 of 2013 ("POPIA") and applicable privacy legislation.
Where Infotech Solutions processes personal information during a service engagement, we may act as an Operator or Responsible Party depending on the context of processing. We implement administrative, physical, and technical safeguards designed to support privacy, data protection, and digital sovereignty obligations.
Infotech Solutions may recommend, architect, configure, integrate, or support third-party enterprise platforms, including Microsoft Azure, Microsoft 365, Power Platform, Microsoft Fabric, Microsoft Purview, Microsoft Defender, Microsoft Sentinel, Azure AI services, and related cloud technologies.
Third-party environments are governed by their respective vendor licensing terms, service availability commitments, pricing structures, security controls, and cloud service level agreements. Infotech Solutions accepts no liability for outages, backend software changes, licensing changes, pricing escalations, defects, data centre incidents, or service limitations originating within third-party provider systems.
Our cybersecurity architecture and compliance advisory services are designed to reduce risk, expose vulnerabilities, improve security posture, and strengthen enterprise resilience. However, due to the evolving nature of global digital threats, no architecture, security control, monitoring process, or audit routine can guarantee absolute protection against malicious exploits, data breaches, zero-day vulnerabilities, insider threats, or unauthorised access.
The Client remains responsible for internal security governance, user awareness, patch management, backups, monitoring, access reviews, and incident response capabilities unless otherwise agreed in writing.
To the maximum extent permitted by applicable South African law, Infotech Solutions, its founders, employees, contractors, and parent brand Infotech Enterprise shall not be liable for any indirect, incidental, special, punitive, or consequential damages.
This limitation includes, without limitation, loss of revenue, loss of profit, loss of business opportunity, loss of goodwill, loss of data, operational interruption, compliance failure arising from Client omissions, third-party cloud service disruption, or unauthorised infrastructure modification.
Clients remain responsible for final business decisions, governance approvals, legal interpretations, regulatory filings, and implementation actions based on recommendations provided.

Infotech Solutions may update these Terms and Conditions from time to time to reflect legal, regulatory, operational, technological, or service-related changes.

These Terms and Conditions, together with all primary business interactions and service delivery frameworks executed by Infotech Solutions, are governed by, interpreted, and enforced in accordance with the laws of the Republic of South Africa.
Both parties consent to the jurisdiction of the courts of the Republic of South Africa for any formal legal disputes arising from these Terms and Conditions or related service engagements.
